The following provisions of the Companies Act 2006 apply to unregistered companies—

a

section 768 (share certificate to be evidence of title);

b

section 778 (issue of certificates etc: allotment or transfer to financial institution).

In section 778 as it applies to unregistered companies, for “section 769(1) or 776(1) (duty of company as to issue of certificates etc)” substitute “any provision of any instrument constituting or regulating the company”.
