Article 3

SCHEDULE 1WYE NAVIGATION ADVISORY COMMITTEE

1.  The term of office of a member of the Wye Navigation Advisory Committee shall be specified by the Agency but may not exceed 4 years from the date of his appointment and, on the expiry of his term, he shall be eligible for re-appointment.

2.  A member of the Committee may at any time by notice to the Agency resign his office.

3.  Every member of the Committee shall hold and vacate office in accordance with the terms of his appointment.

4.  The Committee may determine its own quorum and procedure subject to the provisions of this Schedule, article 3 and to any directions given to it by the Agency.

5.  On a casual vacancy occurring on the Committee by reason of death, resignation or otherwise the vacancy shall be filled by the appointment of a new member in the same manner as the member in whose place he is appointed and he shall hold office during the remainder of the term of office of the member in whose place he is appointed.

6.  The first meeting of the Committee shall be held as soon as reasonably practicable after this Order comes into force and on a day and at a time and place to be appointed by the Agency who shall make arrangements for notice of the meeting to be sent by post to each member of the Committee not less than 14 days before the day so appointed.

7.  The member of the Committee appointed by the Agency under article 3(2)(w) shall be the chairman of the Committee.

8.  The Committee may, if it thinks fit, appoint one of its members to be vice-chairman.

9.  Following its first meeting, meetings of the Committee shall be be held not less than once every 6 months and take place on the days and at the times that it shall determine or which are requested by the Agency or by not less than 5 members of the Committee in writing to the Agency.

10.  With the Agency’s prior written approval, which may be given subject to such terms and conditions as the Agency thinks fit, the Committee may co-opt any person onto the Committee for the purposes of providing the Committee with such advice and assistance as the Committee considers appropriate.

11.  Subject to any terms and conditions imposed by the Agency, a person co-opted onto the Committee pursuant to paragraph 10 shall be entitled to attend and take part in all meetings and proceedings of the Committee but shall not be entitled to vote on any resolution.
